01:29:47Tüpraş's value is 16.5 billion dollars. These were
01:29:50closing prices on Friday, today they are roughly the same.
01:29:54Turkey's largest company and a fund have
01:29:57the same value, that's right. And I'm talking
01:30:00about a company that has been included in the list of the 30
01:30:04most valuable companies, which we call BIST 30, by the stock exchange.
01:30:08So, Türk Telekom, Turkcell, public banks, all of them are in the list.
01:30:11It's worth 4 times more than Turkcell.
01:30:15Now, when there's an outflow from a fund that holds
01:30:18the shares of this company, who will buy this company for 15 billion dollars
01:30:22instead of 16 billion dollars, who will buy it for 12 billion dollars,
01:30:26who will buy it for 10 billion dollars, who will buy it for 8 billion, 2 billion
01:30:29dollars? So, a chain forms now, but
01:30:33I'm not talking about a single stock. There's a shipping company with 250
01:30:37employees, 6.5 billion dollars. I'm not naming names, I don't
01:30:40think there's any harm in naming names. Now,
01:30:44there are probably 15-20 such shares
01:30:47and 15-20 funds formed
01:30:51in Turkey. And actually, Article
01:30:55107/1 of the Capital Markets Law considers artificial
01:30:59market price formation and artificial price formation in the market
01:31:04as a crime. But during these 10 months, and before that, and
01:31:07still, the CMB has not filed any criminal complaint
01:31:10about this. It only made regulations to solve
01:31:13this and to ensure that it is not repeated.
01:31:17And while making these regulations, it took very restrictive
01:31:21decisions regarding these types of free
01:31:24funds. And actually, it imposed significant financial and human
01:31:28resources burdens on portfolio management companies
01:31:31that do their job properly and companies that do their job properly.
01:31:34So, it clearly gave the message that "I know what happened,
01:31:38but I cannot legally deal with those who did it."
01:31:41But since the issue grew so much and they probably
01:31:44saw the risk of it shaking financial stability, they felt the need
01:31:48to take a precaution. Excuse me, professor, I apologize, the management
01:31:52of the Tera group did not change, Pusula's management changed.
01:31:55If my colleagues correct me, Tera's management did not change, Pusula's
01:31:59changed. Of course.
01:32:04It seems like Tera group's management changed. Pusula,

01:32:10Yes, go ahead. Now,

01:32:41shares into a fund, a closed free
01:32:44fund that we are a part of. Then we take
01:32:48these 100 million shares and increase their value to 5 billion. Then this fund
01:32:52has a very low public float. You know that no one bought
01:32:56it when it was first offered to the public. You buy
01:32:59their shares from Luxembourg, Malta, or from your
01:33:03friends. Eventually, you have a beautiful public share.
01:33:07Then you establish
01:33:10a closed free fund with friends
01:33:14and family in a closed free fund, with a portfolio
01:33:17manager company. You raise the price of
01:33:21that share, which has no public float and for which no seller
01:33:24will come against you, from 100 million to 5 billion.
01:33:27After that, this fund shows
01:33:30incredible performance. I mean, imagine, a 100 million
01:33:34fund has become 5 billion liras, it has increased 50
01:33:38times. People say, "how well they manage funds."
01:33:41You also say, "I want to share my excellent fund management
01:33:45skills with our 17 million people."
01:33:48You open the fund to TEFAS, of course with CMB permission,
01:33:51by taking CMB permission. You enable the public to buy
01:33:55it. The public also buys it. While the public is buying, they also need to make a profit.
01:33:58You increase the fund that was 50 billion to 150
01:34:02billion. They also make a profit.
01:34:05They start defending this superior fund management skill
01:34:09more than anyone else. And then, of course, when the CMB and the stock exchange
01:34:13watched this for 10 months, this is where we are now.
01:34:16Now we need to see what happens next. After this,
01:34:20the investor is important. Protecting people is important here. The investors
01:34:24in Katılım Ev, I mean, the chairman
01:34:27of Tera's board of directors himself
01:34:30says, "We are responsible for protecting the money of people who scrimped
01:34:34and saved to invest here." Now, there is a very important critical point
01:34:37here. All the things we have talked
01:34:41about so far were within the Capital Markets Law and Capital Markets
01:34:45transactions. But Pusula is not just
01:34:48a company in the capital market. It also has
01:34:52a small participation bank, which means
01:34:55a bank that has the right to collect funds from citizens
01:34:58according to Islamic principles, however small.
01:35:02And it also has a savings finance company. These also collect people's
01:35:05savings, albeit indirectly. Therefore,

01:35:12to the banking system. There are three
01:35:15institutions that should take this seriously and prevent
01:35:18it: BDDK, which is already
01:35:22subject to BDDK regulations for these savings
01:35:26finance companies and banks. Secondly, SPK.

01:35:33these money market funds and these banks. Thirdly, the Competition
01:35:36Authority. The Competition Authority is less important, but these two institutions are much
01:35:40more important. These transactions can only take place
01:35:43with their permission. So, if I tried to buy

01:35:51I mean, we would talk and discuss, we might not meet, but these transactions
01:35:54being done within two days and then

01:37:13Very careful consideration is needed from
01:37:16now on. I think regulatory institutions, both
01:37:19for the banking system, as I mentioned earlier,
01:37:23"let financial stability not be disturbed." The citizens have suffered so much for
